General Terms and Conditions<br />
General terms and conditions of SOLution <strong>Solar</strong>technik <strong>GmbH</strong><br />
[SOLution <strong>Solar</strong> Technology, Inc.]<br />
I. Validity<br />
The deliveries, services and offers from our company take place exclusively on the basis<br />
of these terms and conditions; we do not accept contrary conditions or conditions<br />
provided by the customer that are different, unless we had approved their validity.<br />
Actions in furtherance of contract performance on our part are not considered approval<br />
of contract conditions different from our conditions. These terms and conditions are also<br />
considered a general agreement for all additional legal transactions between the parties<br />
to the contract.<br />
II. Contract execution<br />
A customer's offer to contract requires an order confirmation. Sending the goods ordered<br />
by the customer also causes a contract to be executed. If offers are sent to us, the offeror<br />
is bound for a reasonable period, and in no case less than 8 days after receipt of the offer.<br />
III. Price<br />
All <strong>prices</strong> that we quote are to be understood as exclusive of value added tax, to the<br />
extent that nothing is otherwise expressly mentioned. The <strong>prices</strong> are non-binding.<br />
IV. Cancellation of the contract<br />
For default in acceptance (Item VIII) or other material grounds, such as, in particular,<br />
bankruptcy of the customer or dismissal of bankruptcy for lack of assets, as well as for<br />
payment default by the customer, we are entitled to cancel the contract if it is not yet<br />
fulfilled in its entirety. In the case of cancellation for the customer's negligence, we have the<br />
choice to demand a flat-rate amount of compensation for damages of 15% of the gross<br />
invoice amount or compensation for the losses actually sustained. For payment default by<br />
the customer, we are released from all further performance and delivery<br />
obligations, and are entitled to hold back performance or deliveries that are still pending,<br />
and to demand payments in advance or collateralisations, or to cancel the contract after a<br />
reasonable period of time. If the customer backs out of the contract without being<br />
entitled to do so, or if he demands its cancellation, then we have the option to insist on the<br />
fulfillment of the contract or to approve the cancellation of the contract; in the latter case<br />
the customer is obligated, at our election, to pay a flat-rate compensation in the amount of<br />
15% of the gross invoice amount or compensation for the losses actually sustained.<br />
V. Expenses of reminders and collection<br />
In the case of breach, the contractual partner (customer) is obligated to reimburse the<br />
expenses of reminders and collection that accrue to the creditor if they are necessary for<br />
adequate rights enforcement, whereby he is particularly obligated to reimburse, at most,<br />
the fees paid to the collection agency called in, which arise from the provisions of the<br />
Federal Ministry of Economic and Labor regarding the highest amount of fees charged<br />
by collection agencies. If the creditor carries out the reminder process himself, the debtor<br />
is obligated to pay an amount of € 11.00 per reminder delivered, as well as an amount<br />
of € 4.00 each half year for keeping evidence of the circumstances of the debt in the<br />
reminder process.<br />
VI. Delivery, transportation, default in acceptance<br />
Our selling <strong>prices</strong> do not include costs for delivery, assembly or installation. However, we<br />
perform or oganise these services upon request in exchange for separate compensation.<br />
Delivery is free to the buyer's address for a net product value of € 1000.00 or greater. For<br />
deliveries under a net product value of € 1000.00, transportation costs (environmental<br />
contribution) greater than € 5.00 are incurred; transportation costs for rush deliveries<br />
amount to € 40.00. A flat-rate delivery charge of € 72.00 is incurred, for transportation<br />
and unloading of each large panel module, without assembly. Transportation costs for<br />
photovoltaic equipment amounts to € 50.00/kW. Valid for deliveries within Austria. For<br />
export <strong>prices</strong> ex factory are valid.<br />
VII. Delivery date<br />
We are obligated to make delivery only after the customer has performed all of his<br />
obligations that are required for delivery, in particular all technical and contractual details,<br />
preparatory work and scheduling tasks.<br />
VIII. Place of performance<br />
Place of performance is our company's headquarters.<br />
IX. Trivial changes in performance<br />
If a consumer transaction is not involved, changes in our performance or delivery<br />
obligations that are trivial or otherwise reasonable for our customers are considered<br />
approved in advance. This particularly applies for deviations contingent on the physical<br />
goods (for example, for measurements, colors, look of wood and veneer, texture,<br />
structure and photovoltaic modules, etc.).<br />
X. Warranty, obligation to inspect and give notice of defects<br />
For an indeterminate obligation in consumer transactions, we can release ourselves from<br />
customers' claims for the cancellation of the contract or a reasonable price reduction,<br />
if we exchange the defective item for one that is without defects within a reasonable<br />
period of time. Furthermore, if an indeterminate obligation is not involved, we can release<br />
ourselves from customers' claims from the obligation to grant a reasonable price<br />
reduction, if we bring about an improvement that is reasonable for the consumer within<br />
a reasonable period of time, or if we complete that which is lacking. If a consumer<br />
transaction is not involved, then we fulfill customers' warranty claims for the presence of<br />
a repairable defect by exchanging within a reasonable period of time, or by a price<br />
reduction. The wages and costs expended for the installation and removal are to be<br />
borne by the buyer.<br />
Customers' claims for compensation for damages that aim to remove the defect are valid<br />
only after we are advised that we are in breach of the fulfillment of the warranty claims.<br />
If a consumer transaction is not involved, then according to §§ 377 et. seq. of the HGB<br />
[German Commercial Code] the goods are to be inspected immediately after delivery,<br />
and at most within 6 workdays. Defects identified while doing so are to be made known<br />
to us immediately and in writing, and at most within 3 workdays after their discovery, with<br />
notification of the type and scope of the defect. Notice of hidden defects is to be<br />
provided in writing immediately – and no more than 3 workdays after – their discovery.<br />
If a notice of defects is not provided, or is not provided in a timely manner, the goods<br />
are considered approved.<br />
XI. Compensation for damages<br />
All claims for compensation for damages and exchange costs are barred in the case of<br />
simple negligence.<br />
This does not apply to harms to persons, or for consumer transactions, to harms to<br />
physical goods accepted for processing. The injured party must prove the existence of<br />
simple or gross negligence, insofar as a consumer transaction is not involved. If a<br />
consumer transaction is not involved, the period of limitation for claims for compensation<br />
of damages amounts to three years from the transfer of risk. Liability for losses as a result<br />
of defects is barred, insofar as a consumer transaction is not involved.<br />
XII. Products liability<br />
Recourse receivables in the sense of § 12 of the Products Liability Law are barred unless<br />
the party entitled to recourse proves that the error was caused in our sphere and that it<br />
was caused by no less than gross negligence.<br />
XIII. Retention of title and its legal enforceability<br />
We retain title in all goods delivered, and they remain our property until complete<br />
payment is made. For seizures of the reserved goods by third parties – in particular<br />
through attachments – the customer is obligated to provide notice of our ownership and<br />
to notify us without delay.<br />
XIV. Retention<br />
If a consumer transaction is not involved, for a justifiable complaint the customer is not<br />
entitled to retain the entire gross invoice amount, but rather a reasonable portion of it,<br />
except in cases of rescission. In addition, we are entitled to hold our deliveries or to<br />
demand reasonable collateralisation for our deliveries if the contractual partner falls into<br />
default on the payment of receivables due, or if circumstances arise that reasonably<br />
indicate that termination is imminent, or if hold-ups in payment or insolvency by our<br />
contractual partner exist. This also applies if these circumstances already existed at the<br />
time of contract execution but were not known to us.<br />
XV. Choice of law, legal venue<br />
Austrian law applies. Legal venue is Wels, Austria. The applicability of the United Nations<br />
Convention on Contracts for the International Sale of Goods is expressly barred. The<br />
language of the contract is German. The parties to the contract agree to Austrian<br />
domestic jurisdiction. If a consumer transaction is not involved, the court actually<br />
responsible in the area of our company headquarters is exclusively and locally<br />
responsible for deciding all disputes resulting from this contract.<br />
XVI. Data protection, change in addresses and copyright<br />
The customer gives his consent for the personal data included in the purchase contract<br />
to be saved and processed automatically in the fulfillment of this contract. The customer<br />
is obligated to make changes in his residential or business address known to us, so long<br />
as the legal transaction that is the subject matter of the contract has not been<br />
completely fulfilled by both sides. If the notice is not provided, then declarations are<br />
considered received if they are sent to the last known address. Plans, sketches or other<br />
technical documents, along with samples, catalogues, prospectuses, figures and similar<br />
items remain our intellectual property at all times; the customer obtains no use rights or<br />
rights to use of any nature.<br />
XVII. Warranty periods<br />
Thermal collectors 10 years, glass breakage for all collectors excepted, battery 5 years<br />
(with yearly maintenance of the protective anodes), controllers and electrical parts 2<br />
years, pellet stove 2 years. The conditions of warranty for photovoltaic equipment conform<br />
the manufacturer warranty, provided that an annual maintenance of the equipment<br />
is carried out.<br />
XVIII. Price list<br />
Reproductions and duplicates of the price list are not permitted. Specifications, figures,<br />
descriptions and measurements are not binding and serve only for illustration purposes.<br />
Price list valid through December 31, 2006. Prices provided without quantities are <strong>prices</strong> per piece. The right to make technical changes is reserved! Goods are exclusive of value<br />
added tax; the right to change <strong>prices</strong> is reserved! Payment conditions: 10 days 2% discount, 20 days net. We reserve the right to adjust payment conditions (for example, delivery<br />
against prepayment) independent of the current credit standing of an independent organization.
