City’s top attorney: Voter approval not needed to sell JEA

Hedge fund buys more land in St. Johns Rayonier has sold total of 11,000 acres for $39.8 million. The New York-based hedge fund sponsor that bought about 7,000 acres from Rayonier Inc. last week was expanding its St. Johns County land portfolio because it also acquired about 4,000 acres from the Yulee-based company in December. The 11,000 acres sold are classified as timberland. All is in southern St. Johns County. The company paid more than $39.8 million for the property, which works out to about $3,622 an acre. Alejandro Barbero, Rayonier director of strategic development and communications, said Wednesday the land was around Pedro Menendez High School. The December sale was land in St. Augustine and Hastings, according to property records. First Coast Land and Timber LLC. paid $14.6 million on Dec. 1 for about 4,000 acres in southern St. Johns County. The land is between Interstate 95 and U.S. 1, southwest of St. Augustine. A supermajority of council members needed to sell utility, he says in memo. By David Cawton Staff Writer A voter referendum would not be required if the city decides to sell JEA, its public utility company, to a private buyer, according to the city’s top attorney. General Counsel Jason Gabriel offered the opinion in a six-page memo sent to City Council members and Mayor Lenny Curry’s office Tuesday outlining how to navigate a potential sale of JEA.

The memo came the day before a special joint meeting between council members and the JEA board of directors to discuss the findings of a financial audit being prepared by the utility’s finan-

cial adviser. Gabriel’s memorandum said selling JEA and its assets requires a supermajority of

council members to approve amending or repealing a section of the city Charter. That’s 13 of the 19 council members. Article 21 of the Charter outlines JEA’s authority with Section 21.04, stating that JEA cannot “transfer any function or operation which comprises more than ten percent of the total of the utilities system by sale, lease or otherwise to any other utility, public or private without JEA

On Feb. 7, Rayonier, through Rayonier Atlantic Timber Co. and Rayonier Forest Resources L.P., sold up to 7,000 acres to First Coast Land and Timber LLC for $25.24 million. That property is between I-95 and U.S. 1 from St. Augustine to Hastings. Two more LLCs registered Jan. 22 – First Coast Land and Timber GS 1 LLC and First Coast Land and Timber GS 2 LLC – bought small pieces of land Feb. 7 for almost $183,000. Asked whether First Coast Land and Timber wanted to buy more land from Rayonier, Barbero said “we only comment on closed transactions.” Both acquisitions were unsolicited, he said. First Coast Land and Timber LLC was registered with the state in November. Its New York City address is the same as Ruane, Cunniff & Goldfarb Inc., a privately owned hedge fund sponsor. It manages Sequoia Fund Inc., an open-ended equity mutual fund begun by the firm. Barbero said Monday that Rayonier is a timber REIT and continuously evaluates its portfolio. “Sometimes we receive unsolicited offers. When it makes sense, we execute on transactions,” he said. He declined to comment on the buyer’s identity or plans for the property. A St. Johns County spokeswoman had no comment. While Rayonier and Ruane, Cunniff & Goldfarb have not commented about why the land was of interest, it’s no secret that St. Johns is one of the region’s fastest-growing counties. Thousands of acres are under development in the northern part of the county for housing and for retail and commercial uses, such as Durbin Park.

A patient, long-term investor might want to buy timberland at a relatively low cost now and hold onto it until demand grows for housing and commercial development in future years. It then could sell it for more. Sequoiafund.com says the fund was launched in 1970 by Bill Ruane and Rick Cunniff and that it remains a concentrated, longonly equity fund that invests primarily in domestic mid- and large-capitalization companies. Ruane, Cuniff & Goldfarb says on ruanecunniff.com that it is a registered investment adviser best known for managing Sequoia Fund. It also runs separately managed accounts using the same strategy. Rayonier is an international real estate investment trust with about 2.6 million acres in the United States and New Zealand. Its U.S. land holdings include about 1.8 million acres in the South. Rayonier says in its corporate profile that its growth “is boosted by an excellent portfolio of properties suited for higher and better uses in the fast-growing US Southeast region, primarily in the coastal corridor between Northeast Florida and Southeast Georgia along Interstate Highway 95.” Its real estate operation develops strategies to transition timberland “for higher and better uses” while its forest resources operation sells timber to markets that include pulp, paper, building products and energy production. In September, Rayonier sold 1,311 acres at its Crawford Diamond Industrial Park in Nassau County to Florida Power & Light Co. for $13.1 million. The utility has not said what it intends to do with the property. Rayonier retains almost 500 acres there. Rayonier also is developing the 2,900-acre Wildlight mixed-use development at northeast I-95 and Florida A1A in Yulee.

Café Frisch opening at FSCJ Downtown Florida State College at Jacksonville’s Culinary Arts and Hospitality program is scheduled to host a ribbon-cutting ceremony this morning to celebrate the grand opening of Café Frisch. The simulated restaurant environment, which provides students a hands-on learning experience, was supported by a gift from the Harry Frisch family and the Beaver Street Foundation. The café allows FSCJ students to showcase their culinary and service talents to the community. The dining lab is for the Culinary Arts students and is similar to the former Mallard Room when the program was based at the FSCJ North Campus. The café is at the FSCJ Downtown Campus at 101 W. State St. in Building C, Room 106. It is open 11:30 a.m.-12:30 p.m. Tuesday and Thursday and also has seatings at 6:30 p.m. and 7 p.m. Thursday. Lunch is $7 and dinner is $9. Reservations are required by calling (904) 633-8151. Meanwhile, the café at the FSCJ student housing project under development at 20 W. Adams St. will be called 20West Café.

Students from the Culinary Arts program also will be involved with that café, which will be open to the public.

Part of Town Center Promenade sold The Town Center Promenade retail building leased to Aspen Dental and Newk’s Eatery was sold for $5.34 million to Tallahassee Investments LLC and Town Center Investments LLC. CPC Jacksonville SJTC, part of Promenade developer Core Property Capital of Atlanta, sold the property. The 7,700-square-foot building at 4520 Town Center Parkway was constructed in 2017. Tallahassee Investments and Town Center Investments are based at the offices of Jacksonville-based Triforce Development LLC. Triforce is led by brothers Paul and Louis Sleiman.

UniFirst seeks concurrency reviews for new facility

UniFirst Corp. applied for Mobility Fee Calculation and Concurrency Reservation certificates for a 57,000-square-foot commercial laundry facility on 5.63 acres in the Perimeter West

Industrial Park. UniFirst Corp. plans to build the $6 million project at 4251 Perimeter Industrial Parkway E., at northeast Interstate 295 and Pritchard Road. A spokesman said UniFirst will own the facility which could be completed late this year. Site data shows a two-phase project totaling 63,517 square feet of space. UniFirst said that upon completion of the facility, it will no longer need to lease its branch operation along Haines Street. UniFirst is based in Wilmington, Massachusetts, near Boston.

Town Center Two foundation work OK’d The city approved a permit last week for Brasfield & Gorrie to build the foundation for Town Center Two at 5335 Gate Parkway at a project cost of $18 million. VanTrust Real Estate is developing the six-story, 217,877-squarefoot building for lease to Jacksonville-based Web.com Group Inc., which will relocate its headquarters from Flagler Center to Town Center Two. VanTrust Real Estate will develop the building on 14.1 acres and it will offer 1,200 parking spaces.

Johnson Family YMCA expansion in review The city is reviewing an expansion for the Johnson Family YMCA at 5700 Cleveland Road. Mobility Fee Calculation and Concurrency Reservation certificate applications show that the Johnson Family YMCA will build a 4,000-square-foot teen center and 1,775 square feet for office use on 3.55 acres. By Scott Sailer Editorial Research Director Tabula Rasa Brewing LLC won Jacksonville Planning Commission approval Feb. 8 for a zoning exception to sell and serve alcoholic beverages at a brewery and taproom it wants to open at 2385 Corbett St. next to McCoy’s Creek. The property is in Mixon Town, a neighborhood bordered by interstates 95 and 10 and King and West Beaver streets. The brewery also was granted

a liquor distance waiver for being less than 1,500 feet from King Solomon United Baptist Church and Mission Harvest America Church. The commission also approved an administrative deviation to relax landscape and driveway standards. The brewery will operate out of a building that hosted Mixon Studios from 2015-17 and Excel Chemical Co. before 2015. City planning staff cited the benefits of the project in the North Riverside Neighborhood Action Plan, which encourages infill development in an area of economic decline. The Planning Commission approved the first step for rezoning and a land use amendment for 6.82 acres at the eastern end of San Marco for developer Chance Olevia LLC. The plan includes up to 350 apartments in two four-story buildings with a four-story parking garage, eight two-story carriage homes or townhomes. Lawyer T.R. Hainline with the Rogers Towers firm, as the agent, said the application allows for an alternative plan to substitute townhomes for one of the apartment buildings. The property is owned by Southside Assembly of God and comprises 24 parcels southeast of Atlantic Boulevard and Kings Avenue. Chance Olevia has designated

the property a brownfield area and executed a Brownfield Site Rehabilitation Agreement with the Florida Department of Environmental Protection. It committed to remediate the site. Planning Commission members expressed concern about building heights, stormwater drainage and capacity impacts to a nearby elementary school. Downtown Hyatt Regency reopens lobby From Staff

he Hyatt Regency Jacksonville Riverfront on Wednesday reopened its lobby entrance on Coastline Drive. The lobby had been closed since floodiing from Hurricane Irma damaged the hotel in September, with guests having to check in on the second floor. Cory Baum, director of sales and marketing for the hotel, said renovations continue, with work expected to be completed this year. He would not give a timetable. “We are excited to be back in these spaces,” Baum said. The designer for the lobby is HVS Design, headquartered in Washington, D.C. The hotel also is adding a grab-and-go market near the elevators and registration desk. The 19-floor, 951-room hotel at 225 Coastline Drive E. is owned by MCSW JAC Hospitality LLC, in care of Westmont Hospitality Group of Houston.

approval of the council.” Any transaction to modify the authority or powers of JEA would require an amendment to or repeal of Article 21, Section 21.11 authorizes council to appeal or amend any portion of the JEA Charter. Gabriel states that since the council’s right to make that change was authorized by state lawmakers, “no referendum would be required to amend or repeal the JEA Charter to affect a privatization transaction.” JEA released a financial audit detailing the utility’s worth on the open market at a council meeting Wednesday. Adviser Public Financial Management Inc. released a draft audit Feb. 2 providing some insight into how JEA would fare on the open market. It said Wednesday the value could range from a gross sales price range of $4.7 billion to $11 billion.

The audit was initiated by JEA board Chair Alan Howard after former board member Tom Petway suggested Nov. 28 that privatization be considered. Since then, several council members, including Brosche, asked the Office of General Counsel whether voters should be allowed to weigh in through a referendum. OTHER CHALLENGES

JEA also would need to address its franchise and interlocal agreements for customers outside of Jacksonville if a sale were to be explored. While most of JEA’s electric, water and sewer customers live in Duval County, the authority also provides electricity to Orange Park, Baldwin, Atlantic Beach and parts of St. Johns County, and water and wastewater services to parts of Nassau and St. Johns

counties. Both counties would have the first right of refusal over a private company to purchase their portion of the water and sewer system, a 90-day negotiating window summarized by their respective interlocal agreements. According to Gabriel’s memo, those agreements are being reviewed by the Office of General Counsel, along with others that could affect a potential transaction. The city also would need approval from federal and state agencies, including the Federal Energy Regulatory Commission and the Florida Public Service Commission. For JEA’s real estate holdings, Gabriel states that a review will be done by JEA with the assistance of his office and specialized outside legal counsel to “assess the rights, obligations, benefits and

burdens,” of the property it owns. Gabriel explains the city would follow the six-phase process explained in Public Financial Management’s draft audit, which says that any transaction will likely take years to complete. That would begin with council adopting a resolution to amend the charter that would allow JEA to pursue a sale. FIRST STEPS AFTER DECISION

If council were to move ahead with a sale, it first would retain an investment adviser, merger and acquisition counsel and “other necessary professional services,” including someone who handles employee and labor relations. This group would help with preparing any marketing and disclosure documentation and setting minimum transaction parameters for potential buyers to begin reviewing. Those investors would be

assisted in doing their own due diligence before any initial negotiations take place. The city would then narrow the list of serious bidders. Council will then have to approve any proposal before a sale could move forward. That would coincide with JEA settling its franchise and interlocal agreements. From there, the sale would need regulatory approval. “Please note that this memo provides basic procedural information on a comprehensively large first-of-its-kind transaction and accordingly is subject to further modification, amendment, elaboration and analysis as the evaluation, exploration and consideration process is undertaken,” Gabriel said. dcawton@jaxdaily.com @DavidCawton (904) 356-2466

They came here when they were young, this is the only country they know, it’s the only language they speak,” said Rutherford. “To deport them would be horrible.” He said the country needs those immigrants so they can eventually contribute to the country’s workforce. Older undocumented immigrants, he said, “need to go to the back of the line and wait like everyone else.” Rutherford did offer some criticism of the Republican Senate leadership, saying the group needs to change a rule requiring a 60-vote majority to overturn a filibuster from Democrats so Republicans don’t waste their current majority. “I’ve never been in an organization that lets rules get in the way of doing the right thing so many times,” Rutherford said. “Change the rule.” Another change he said that could halt the gridlock in Congress was the return of districtdriven funding, also known as earmarks. The policy was eliminated in the House in 2011. “They weren’t being done properly and needed to stop,” Rutherford said. “But they can certainly be done where they do build those relationships because people come together because they need each other.”

Jaguars remove tarps, increase ticket prices The Jacksonville Jaguars announced season ticket prices for the 2018 season will increase by an average of 10.9 percent, depending on the seat. The team also is removing the tarps on the upper decks, opening an additional 3,501 seats. Prices for some concession items like hotdogs, pretzels, nachos, popcorn and fountain drinks will be reduced to $5.
